JOSEPH CANFORA

Mr. Canfora, the founder and Chief Executive Officer of Merit, has more than 25 years of gaming experience for some of the premier casinos throughout the country and is a gaming executive with proven success in building profitable operations in competitive environments.

Canfora and several of the former owners of Empress Casinos formed Merit to offer management, consulting and financial resources to Native American and small to medium size gaming companies.

Prior to forming Merit Management Group, Canfora served as President of Empress Casinos from 1997-1999 and became President of Horseshoe Gaming, LLC when it acquired Empress in 1999. In his role as President, Canfora oversaw four casino properties in the Chicago markets and in Louisiana and Mississippi. The four properties together employed more than 8,000 people and generated annual revenues in excess of $900 million.

As President of Empress Casinos, Canfora was instrumental in establishing the Empress properties as the premier gaming destination in the Midwest. Under his leadership, Empress' revenues increased to more than $650 million a year to capture about 25 percent of the Chicago-area gaming market Canfora launched his gaming career in Las Vegas in 1978. In 1984, he joined Station Casinos, Inc. as Director of Non-Gaming Operations. He then served as Vice President of Operations and Vice President/General Manager of Palace Station Hotel & Casino.

In 1992, Canfora was named Executive Vice President and Chief Operating Officer for Station Casinos, directing their Missouri and Nevada casino and hotel operations. Three years later he was appointed to the position of Executive Vice President and President of Missouri Operations, presiding over corporate operations and casino gaming operations in Missouri. Canfora was the guiding force behind the opening of Station Casino Kansas City, and he conceptualized and implemented strategic marketing plans for their Midwest Division.

In addition to his casino management and operations experience, Canfora has proven skills in high-level financial transactions including playing a key role in an IPO that raised $294 million, securing and managing capital funding for projects in excess of $500 million and raising equity for several start-up casinos.

Canfora has served as a board member of the Nevada Hotel/Motel Association, the Las Vegas United Way and the Kansas City Multiple Sclerosis Organization. Mr. Canfora was also appointed by the Governor of Nevada to the Blue Ribbon Task Force on State Transportation.

Born in New Castle, Pennsylvania, Canfora graduated with a Bachelor of Science degree in Hotel Administration from the University of Nevada at Las Vegas in 1982. MARK TRIFFLER

A Chicago native, Mr. Triffler has over 38 years of business experience. After graduating from Southern Illinois University in 1973, he began his career by establishing an automobile leasing company. In 1981, he purchased an Oldsmobile dealership, and seven years later combined it with Chrysler-Jeep. Mark Triffler Oldsmobile-Jeep became among the top performing automobile dealerships on Chicago’s South Side.

After selling his dealerships in 2004, Mr. Triffler became interested in commercial and residential real estate development. HERBST GAMING

The business traces it roots to the Terrible Herbst Oil Company founded in 1959 by Ed Herbst (grandfather of the current owners), which owns gasoline stations throughout Nevada, California, Utah and Arizona. The stations bear the logo of a "terrible" cowboy wearing a handlebar mustache and black hat.

In 1987, Herbst Gaming was formed by brothers Ed, Troy, and Tim Herbst (grandchildren of the patriarch) to service the slot machines in the stations.

In 1997, Herbst Gaming opened its first casinos: Town Casino in Pahrump, Nevada and Terrible's Casino and Bowl in Henderson, Nevada. This was followed by the Lakeside Casino in Pahrump in 1999, Terrible's Hotel and Casino (formerly the Continental Hotel and Casino) in 2000 in Paradise, Nevada, and Searchlight Casino in 2003.

On December 8, 2002, Herbst Gaming agreed to buy International Game Technology's Anchor Coin 1,100 machine slot routes.

In 2005, Herbst Gaming acquired three Midwest casinos in St. Joseph, Missouri, La Grange, Missouri and Osceola, Iowa from Grace Entertainment for $287 million. Grace was a Midwest contractor who had developed racing and casino operations there.

In May 2006, Sands Regency announced plans to be acquired by Herbst Gaming. In January 2007, Herbst purchased four casinos, including the Red Hawk Sports Bar, Sands Regency, and Rail City Casino, for $119 million.

In 2006, Herbst Gaming also acquired Primm Valley Resorts from MGM Mirage for $400 million. The sale closed on April 10, 2007. In 2007, Herbst Gaming acquired the Sands Regency Casino Hotel in northern Nevada and Primadonna Resorts, located south of the Las Vegas area.
